Terms of Service

These Terms of Service (“Terms”) are a legal agreement between you and CommerceHub (“CommerceHub,” “we,” “us,” or “our”) governing your access to and use of the commercehub.bz website, the merchant administration application, the merchant storefronts powered by CommerceHub, and any related services we provide (collectively, the “Service”).
By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service. Sections 10 (Limitation of Liability), 11 (Indemnification), and 13 (Dispute Resolution & Class-Action Waiver) materially limit your rights and require individual arbitration of most disputes — read them carefully.
1. The Service
CommerceHub is a self-hosted, non-custodial commerce platform. It lets registered users (“Merchants”) run online stores, list and sell goods or services, configure payment rails, and operate automated short-form video promotion across third-party social platforms (TikTok, YouTube, Instagram, etc.). Visitors to a Merchant's storefront (“Customers”) may browse, purchase, and interact with the products offered by that Merchant. CommerceHub itself is not the seller of those products and is not a party to any sale between Merchant and Customer.
2. Eligibility
You must be at least 18 years old and have the legal capacity to form a binding contract. You must not be barred from using the Service under the laws of your jurisdiction. By using the Service you represent that you meet these requirements.
3. Accounts & Security
You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us immediately at legal@commercehub.bz of any unauthorized use or suspected compromise. We may suspend or terminate accounts that we reasonably believe have been compromised or are being used to violate these Terms.
4. Subscription & Billing
Some features of the Service require a paid subscription. Subscription fees, billing cycles, and accepted payment methods are presented at the point of purchase. Subscriptions renew automatically at the end of each billing cycle unless you cancel. Fees are non-refundable except where required by law or expressly stated otherwise at the point of purchase. We may change prices on prospective billing cycles with at least 14 days' notice; continued use after the change constitutes acceptance.
5. Merchant Content & Conduct
You — the Merchant — are solely responsible for everything you list, sell, publish, or otherwise make available through the Service (“Merchant Content”), including product titles, descriptions, images, videos, fulfillment, customer service, refunds, tax collection and remittance, and compliance with all laws and regulations that apply to your business and the goods or services you sell.
You represent and warrant that:
- You own or have all rights, licenses, and consents needed to make Merchant Content available through the Service.
- Merchant Content does not infringe any third-party intellectual-property right, right of publicity, privacy right, or any other right.
- Merchant Content and the goods or services you sell comply with all applicable laws, regulations, and the rules of any third-party platform you connect (including but not limited to TikTok, YouTube, Instagram, Stripe).
- You have the right to collect and process any customer information you obtain through your storefront, and you will do so in compliance with applicable privacy laws.
6. Acceptable Use
You will not, and will not allow any third party to:
- Use the Service to sell, promote, or distribute any item or service that is illegal in your jurisdiction, the jurisdiction of the Customer, or the jurisdiction of any connected third-party platform — including but not limited to controlled substances, weapons, stolen goods, counterfeit goods, IP-infringing goods, or services that defraud customers.
- Use the Service to send spam, run phishing campaigns, distribute malware, or interfere with the integrity or performance of the Service or any connected third-party platform.
- Attempt to gain unauthorized access to any portion of the Service, its underlying infrastructure, or another user's account or storefront.
- Reverse-engineer, decompile, or attempt to derive the source code of any part of the Service except as expressly permitted by applicable law.
- Use the Service to publish content that is defamatory, harassing, hateful, sexually explicit involving minors, or otherwise violates the policies of a connected social platform.
- Engage in fraudulent conduct, including but not limited to payment fraud, chargeback fraud, or misrepresenting the origin, ownership, or quality of products.
We may, in our sole discretion, suspend or terminate access for any violation of this section, remove offending content, report unlawful conduct to authorities, and pursue any remedies available to us at law or in equity.
7. Intellectual Property
7.1 Our IP
The Service, including its software, design, trademarks, logos, and all underlying intellectual property, is and remains the property of CommerceHub and its licensors. Nothing in these Terms grants you any right or license to use any of our intellectual property except the limited right to access and use the Service in accordance with these Terms.
7.2 Your content
You retain all ownership rights in your Merchant Content. By submitting Merchant Content to the Service you grant CommerceHub a worldwide, non-exclusive, royalty-free license to host, copy, transmit, display, modify (for technical compatibility), and distribute that content as reasonably necessary to provide the Service to you and your Customers and to publish it to the third-party platforms you have connected and instructed us to publish to. This license terminates when you delete the content or terminate your account, except for content already lawfully distributed to third parties or required to be retained under §6 of our Privacy Policy.
8. Third-Party Services
The Service integrates with third-party platforms, including but not limited to TikTok, YouTube (via Google), Instagram (via Meta), Stripe, and cryptocurrency networks. Your use of those platforms is subject to their own terms of service and privacy policies. We are not responsible for any third-party platform, including any change in functionality, downtime, or content moderation decision by that platform. We do not control and are not liable for any third-party platform's actions in connection with content you publish through us.
9. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. To the maximum extent permitted by applicable law, CommerceHub disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not warrant that any particular post will be published, accepted, or remain available on any third-party social platform. Any reliance you place on the Service is at your own risk.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL COMMERCEHUB, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN ANY EVENT, OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU ACTUALLY PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).
Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions our liability is limited to the smallest extent permitted by law.
11. Indemnification
You will defend, indemnify, and hold harmless CommerceHub and its affiliates, officers, directors, employees, and agents from and against any and all claims, demands, losses, liabilities, damages, judgments, settlements, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your Merchant Content; (c) the goods or services you sell, including warranty, fulfillment, or tax claims by your Customers; (d) your violation of these Terms; (e) your violation of any third-party right, including any intellectual-property, privacy, or publicity right; or (f) your violation of any law or the rules of any third-party platform you have connected.
12. Termination
You may terminate your account at any time by following the cancellation flow in the Service. We may suspend or terminate your access immediately and without notice if we reasonably believe you have violated these Terms or applicable law, or if your continued use poses a security or legal risk to the Service, other users, or any connected third-party platform. Sections that by their nature should survive termination (including without limitation §§ 5, 7.1, 9, 10, 11, 13, and 14) will survive.
13. Dispute Resolution & Class-Action Waiver
Please read this section carefully — it affects your legal rights.
13.1 Informal resolution. Before filing any claim against CommerceHub, you agree to attempt to resolve the dispute informally by emailing legal@commercehub.bz with a description of the claim and what relief you seek. The parties will negotiate in good faith for at least 60 days before any party initiates arbitration or court action.
13.2 Binding arbitration. Except for the carve-outs in §13.3, any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules. The arbitration will take place in Delaware, United States, conducted in English, before one neutral arbitrator. Judgment on the award may be entered in any court of competent jurisdiction.
13.3 Small-claims & injunctive carve-out. Either party may bring a claim in small-claims court if the claim qualifies for that court's jurisdiction. Either party may also seek emergency or temporary injunctive relief in any court of competent jurisdiction.
13.4 Class-action waiver. ANY ARBITRATION OR COURT PROCEEDING WILL BE CONDUCTED ON AN INDIVIDUAL BASIS ONLY. THE PARTIES EACH WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY-GENERAL ACTION, OR ANY OTHER CONSOLIDATED PROCEEDING. If this class-action waiver is found unenforceable, then §13.2 (arbitration) is void as to that claim, but the rest of these Terms remain in effect.
13.5 Opt-out. You may opt out of §13.2 and §13.4 by sending written notice to legal@commercehub.bz within 30 days of first accepting these Terms. Opt-out does not affect §13.1 (informal resolution) or §13.3 (carve-outs).
14. Governing Law
These Terms are governed by the laws of Delaware, United States without regard to its conflicts-of-law principles. Any claim not subject to arbitration under §13 must be brought exclusively in the state or federal courts located in Delaware, United States, and you consent to the personal jurisdiction of those courts.
15. Changes to these Terms
We may update these Terms from time to time. We will post the updated Terms at this URL with a revised “Last updated” date. If the changes are material we will give you at least 14 days' notice by email or in-Service notice. Your continued use of the Service after the effective date constitutes acceptance.
16. Miscellaneous
These Terms (together with our Privacy Policy and any other legal notices we publish) are the entire agreement between you and CommerceHub regarding the Service and supersede all prior agreements. If any provision is found unenforceable, the remaining provisions will remain in full force. Our failure to enforce any provision is not a waiver of our right to enforce it later. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets. Notices to us must be sent to legal@commercehub.bz.
